Boeing aikoo hankkia 80 % osuuden Embraerista

Boeing ja Embraer suunnittelevat joint venture-yhteistyötä, missä Boeing omistaisi 80 % Embraerin matkustajakoneiden tuotannosta ja Embraer 20 %. Kyseessä on toistaiseksi vasta alustava aiesopimus, joka ei sido kumpaakaan osapuolta, tarkoituksena muodostaa "strateginen yhteistyö".

Boeing is to take an 80% stake in a Embraer's commercial aircraft and services business under a joint-venture arrangement, with the Brazilian airframer retaining the other 20%.

The proposed JV is part of a nonbinding memorandum of understanding, disclosed by Boeing, to establish a strategic partnership with Embraer.

Boeing chief executive Dennis Muilenburg expects the partnership to generate "significant value for both companies' customers, employees and shareholders – and for Brazil and the United States".

Yhteistyöprojektin arvoksi kerrotaan 4,75 mrd USD, joten Boeingin osuus olisi 3,8 mrd USD. The transaction will then be subject to shareholder and regulatory approvals, including approval from the government of Brazil. If these approvals are received "in a timely manner", Boeing expects the transaction to close by the end of 2019.

Brasilialainen tuomioistuin estää Boeingin ja Embraerin joint venture-yhteistyöprojektin eteenpäinmenon toistaiseksi, koska ensi vuoden alussa astuvat virkaansa Brasiliassa sekä uusi presidentti että uusi kongressi, ja on parempi odottaa poliittisen tilanteen selkiytymistä.

A judge in the 24th Federal Civil Court of São Paulo has issued an injunction blocking the proposed creation of a joint venture between the civilian part of Embraer (EMB, São José dos Campos) and Boeing (BOE, Chicago O'Hare) pending the inauguration of President-elect Jair Bolsonaro.

Local media reported that Judge Victorio Giuzio Neto said that in light of the new government taking power on January 1, including both the President and the Congress, it would be advisable to wait for the political situation to pan out rather than decide on the joint venture right now.

Boeing and Embraer had previously hoped to have the tie-up approved by the end of 2018.

Boeing Brasil - Commercial on nimi, jolla jatkossa tunnetaan Boeingin ostama Embraerin regional-konetuotanto. Vielä ei ole tiedossa muuttuvatko myös koneiden nimet ja mallimerkinnät samaan tapaan kuin kävi AIrbusin pelastaessa A220-koneet Bombardierilta.

EU:n komission antitrust-viranomaiset jatkavat jälleen Boeingin ja Embraerin 80-20-joint venturen tutkimista, tarkoituksena saada asia päätökseen elokuun 7. päivään mennessä. EU ei ole pitänyt turhaa kiirettä asian suhteen.

Embraer ei ole iloista poikaa vaan syyttää Boeingia sopimusrikkomuksesta ja valheellisista väittämistä ja aikoo vaatia 4,2 miljardiaan lakituvassa. Embraerin mukaan Boeingilla on pitkä historia harhaanjohtavien tai epätäydellisteen tietojen esittämisessä edistääkseen omaa agendaansa, ja osasyynä tähän tilanteeseen on Boeingin rahatilanne ja 737 Maxien ongelmat.

Embraer believes strongly that Boeing has wrongfully terminated the MTA, that it has manufactured false claims as a pretext to seek to avoid its commitments to close the transaction and pay Embraer the US$4.2 billion purchase price.  It wouldn't be the first time the giant US aerospace company has deployed such tactics, Boeing has a long history of briefing misleading or incomplete information, in order to create an alternative narrative to support their own viewpoint.

 

Embraer says "We believe Boeing has engaged in a systematic pattern of delay and repeated violations of the MTA, because of its unwillingness to complete the transaction in light of its own financial condition and 737 MAX and other business and reputational problems."
